Terms and Conditions
1. Independent Contractor Status
Agent acts as an independent contractor, not an employee of the company, and is responsible for their own taxes and operating expenses.
Agent retains the right to determine the method, manner, and means by which they perform services.
2. Licensing and Compliance
Agent must maintain all necessary state licenses in good standing.
Agent agrees to abide by all applicable state and federal laws, regulations, and ethical standards.
Agent must comply with company rules regarding the solicitation, receipt, and forwarding of insurance applications.
3. Authority and Restrictions
Agent is authorized to solicit and submit applications to the company.
Restrictions: Agent may not alter, waive, or change any policy terms, premium payments, or binder requirements without written consent.
Prohibitions: Rebating commissions to customers, advertising without company approval, or endorsing checks made payable to the company is prohibited.
4. Errors and Omissions (E&O) and Liability
Agent must maintain Errors and Omissions (E&O) coverage at a minimum required limit.
Agent is responsible for their own negligent acts or omissions (E&O) in the handling of client policies.
Agent agrees to indemnify the Company against any claims resulting from the Agent's failure to comply with laws or company procedures.
5. Confidentiality and Data Protection
Agent must safeguard client information in compliance with privacy laws (e.g., PII, HIPAA).
Client data must be used only for the purpose of securing insurance coverage.
6. Compensation
Agent will be paid commissions based on a signed commission schedule.
The company reserves the right to charge back commissions if a policy is cancelled or premium is returned.
7. Termination
Either party may terminate the agreement, usually with written notice (e.g., 30 days) or immediately upon material breach.
